MusicTap Terms of Use

These Terms of Use (“Terms”) are a contract between you and Flourish$Prosper Music Group (“Flourish$Prosper,” “MusicTap,” “we,” “us,” or “our”) for use of MusicTap, including the MusicTap listener app, musictap.app, app.labeltools.ai, MusicTap Writer / TagWriter, the NFC access API, and related licensing (the “Service”).

By accessing or using the Service, you agree to these Terms and to the MusicTap Privacy Policy. If you do not agree, do not use the Service.

MusicTap is part of the Label Tools suite. Operator accounts on labeltools.ai are also governed by the Label Tools Terms of Use. If the two conflict for a MusicTap-specific feature, these Terms control for that feature.

1. Two ways people use MusicTap

Listeners use the free App to scan a physical tag (or open an unlock link) and stream a time-limited release. You do not need an account.

Licensees (labels, distributors, merch teams, artist camps, and their operators) license MusicTap to run physical campaigns: unique tags, TagWriter, protected streaming, and campaign configuration. Licensing is admin-reviewed. Submitting the form on musictap.app/license is a request, not an automatic grant.

If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” includes the company.

2. The Service, in plain terms

MusicTap is a physical-to-digital access layer. It is not a general streaming catalog, not a download store, and not a marketplace for merch.

  • A tag carries an opaque unlock URL. It does not store the audio.
  • After a valid scan, we stream audio from private storage through a short-lived signed URL for a window set by the licensee (commonly a few hours). Re-scanning renews access, subject to rate limits.
  • Exclusive tags use last-scan-wins: the newest scan holds the lease; the previous device loses stream access until it scans again.
  • Shared tags can allow more than one active listener at a time.
  • Free Listen releases on the home feed can play without a tag for a period the operator sets.
  • MusicTap does not sell physical products. Buy those from the artist, label, or store running the campaign.
  • Blank NFC tags and copied links do not create access. Only tags issued and registered on the platform, then written and verify-read in TagWriter, work.

Older tags that open app.labeltools.ai remain MusicTap tags under these Terms.

3. Listener terms

3.1 Eligibility and the App

The App is free to download. There are no in-app subscriptions and no in-app purchases. Access comes from tags you scan and from Free Listens.

You need a compatible phone (NFC hardware to tap; a tag URL can still be opened without NFC), a current App version, and an internet connection. Offline listening is not offered. Playback may continue in the background and over Bluetooth; that uses your device’s audio output, not a MusicTap accessory.

We do not promise that the App will appear under any particular name in an app store search, or that every phone model will scan every inlay through every case.

3.2 License to you (listeners)

We grant you a personal, limited, revocable, non-exclusive, non-transferable license to use the App to scan eligible tags and stream the associated release during a valid access window. You do not get ownership of the App, the audio, or the campaign.

You may not:

  • download, rip, copy, redistribute, or re-upload the audio;
  • share, post, or scrape signed stream URLs;
  • circumvent access windows, last-scan-wins, inactive-tag checks, or rate limits;
  • probe, reverse engineer, or attack the Service except as allowed by mandatory law;
  • use the App for any unlawful purpose.

Handing someone the physical object is allowed. That is how exclusive tags are meant to move, like lending a CD. Handing them a file or a stream URL is not.

3.3 Badges and library

Badges and your in-App library are currently tied to the device. If you change phones, your physical tags still unlock the music; badge progress does not transfer yet. Badges are a record of use. They are not cash, points with a cash value, or a guarantee of merch, tickets, or other perks. Any perk a campaign offers is that licensee’s offer, not MusicTap’s, unless we say otherwise in writing.

3.4 Support

Listener support is support@musictap.app. Include device model, OS version, what you scanned, and a screenshot if something failed. Tag hardware that is bent, cut, or cooked may be dead; we can look up a code, but replacement of a physical product is between you and the seller.

4. Licensee terms

4.1 License grant

A MusicTap license (Pilot, Label, or Platform, as we confirm in writing) grants you a limited, non-exclusive, non-transferable right to use the Service to run the campaigns described in that confirmation: hosted NFC backend, TagWriter access, listener configuration, and the agreed tag batch.

We may refuse a request. A form submission does not create a license. Fees, tag counts, branding, white-label, and infrastructure, if any, are only those we confirm in writing. Nothing on the Site is an offer to the public at a listed price.

4.2 Your content and rights warranties

You retain ownership of audio, artwork, metadata, and campaign copy you provide. You grant Flourish$Prosper a worldwide license to host, transcode (including M4A derivatives), stream, and display that content solely to operate the campaign (unlock pages, App player, TagWriter, entitlement, and signed URLs).

You represent and warrant that:

  • you have all rights, licenses, and consents needed to make that content available through MusicTap, including master, composition, artwork, and name/likeness rights as applicable;
  • streaming the content as configured (window length, exclusive vs shared, Free Listen) will not infringe anyone’s rights or violate DSP, union, or distributor rules you are bound by;
  • tags will be affixed only to products you are authorized to sell or give away.

You will indemnify Flourish$Prosper against claims arising from your content, your products, or your campaign configuration.

4.3 Operator obligations

  • Only authorized operators may use TagWriter. Tags start inactive; you must write and verify-read before fans scan.
  • You choose access mode and window length. Those choices control what listeners experience.
  • You will not print public file URLs, paste smartlinks onto MusicTap as a substitute for entitlement, or instruct fans to bypass the App in a way that exposes media.
  • Platform / white-label terms, if any, are in the written license. You may not rebrand or resell MusicTap without that grant.
  • If you access MusicTap through Label Tools, you also follow Label Tools account rules (including 18+ and invite codes).

4.4 Campaign end

When a campaign ends or a license lapses, we may deactivate tags and stop issuing stream URLs for that batch. Physical objects may still exist in the world; they will no longer unlock. You are responsible for telling your buyers what happens when a campaign ends, if that matters to the product you sold.

5. Acceptable use (everyone)

You may not use the Service to:

  • infringe intellectual property or privacy rights;
  • upload malware or interfere with the Service;
  • harvest signed URLs, tags, or APIs except through documented licensee interfaces;
  • impersonate MusicTap, Label Tools, or a licensee;
  • scrape the Site or App in a way that burdens the Service;
  • use the Service if you are barred by law from doing so.

We may suspend access, deactivate tags, or refuse scans when we reasonably believe these Terms, a license, or the law is being violated, or when needed to protect artists and infrastructure.

6. Intellectual property

MusicTap, TagWriter, the NFC access design, the Site, and our trademarks (including MusicTap, Label Tools, and Flourish$Prosper) stay ours. These Terms do not sell them.

Artists and labels own their music and artwork, subject to the license in section 4.2. Listeners get a session, not a copy.

Feedback you send (support ideas, license notes) may be used by us without obligation to you.

7. Third-party services and stores

Apple, Google, Netlify, and other providers have their own terms. Purchase or gift of a physical product is a contract between you and that seller, not MusicTap.

The App may deep-link from a tag. If a scan opens a browser first, that is a handoff, not a grant of extra rights.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • every phone will scan every tag through every case or surface;
  • a listening window, last-scan-wins move, or network path will be uninterrupted;
  • Free Listens, home-feed placement, or badges will remain available;
  • NFC inlays will survive heat, cutting, or metal.

Audio availability depends on the licensee’s campaign remaining active and on your internet connection.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOURISH$PROSPER AND ITS OFFICERS, DIRECTORS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOST GOODWILL, ARISING OUT OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR MUSICTAP LICENSING IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US$50). LISTENERS PAY US NOTHING FOR THE APP; FOR LISTENERS, (B) IS THE CAP.

Some places do not allow these limits. In those places, our liability is limited to the maximum allowed.

10. Termination

You may stop using the App at any time by deleting it.

We may suspend or end access to the Service, a campaign, or a license if you breach these Terms, if required by law, or if we discontinue MusicTap. Sections that should survive (including IP, warranties, indemnity, disclaimers, liability, and governing law) survive.

11. Changes

We may update these Terms. We will post the new version on musictap.app and change the date above. Continued use after the effective date is acceptance. If you are a licensee and a change materially reduces the license we already confirmed in writing, that written license controls until it ends.

12. Governing law

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Exclusive venue is the state or federal courts located in Los Angeles County, California, except that we may seek injunctive relief in any court for IP or unauthorized streaming.

If a provision is unenforceable, the rest stays in effect. These Terms are the entire agreement for the Service, except a signed MusicTap license, which controls over these Terms on commercial points it covers.

We did not give you the Service as a consumer “download purchase.” Apple and Google are not parties to these Terms and are not responsible for the App, except where their store rules say otherwise.
